These Terms and Conditions govern the operation and use of the website www.edprinvestors.com  ("Site"), made available and operated by EDP Renewables, S.A., with registered office at Plaza del Fresno, no. 2, 33007, Oviedo, Asturias, Spain; registered at the Commercial Registry of Asturias, Volume 3671, Book 177, Page no. AS-37669, Entry 1 | Tax Identification No. A-74219304 ("EDPR"). 

The user of this Site ("User") acknowledges that the use thereof implies acceptance of these Terms and Conditions, as well as the Privacy Policy and Cookies Policy, which are complementary thereto (together, the "Contractual Documentation"). Should the User not accept the Contractual Documentation, they must cease use of the Site.

A. Description of the Site

The Site is intended to provide Users with information regarding the activity of EDPR.

The information provided has been subject to careful analysis; however, such information is merely indicative in nature, and may contain errors or inaccuracies, or may not always be duly updated.

B. Access to the Site

1. The User may access the Site through her/his browser.
2. Access to and use of the Site does not depend on prior registration by the User nor on the provision of personal data.  
3. EDPR has the exclusive right, at any time, to suspend, partially or totally, access to the Site, namely for management, maintenance, repair, alteration or modernization operations. EDPR further has the right to close, definitively or temporarily, partially or totally, the Site at any time.

C. General Conditions of Use of the Site

1. The User acknowledges that they must use the Site in a responsible, prudent and careful manner, refraining from adopting conduct contrary to the law.
2. The User must not use the Site to send or make available information or content belonging to third parties which they are not entitled to use.
3. The User must not use the Site to make available or transmit any material that contains or may contain viruses, worms, defects, or any other items or computer codes, files or programs that are likely to interrupt, destroy or limit the functionality of any equipment or computer system (hardware or software) or communications equipment.
4. The User must not carry out any acts that may cause damage, jeopardise, disturb or degrade the integrity, continuity or quality of the Site and its resources, including, namely: (i) breach of authentication or security systems protecting access accounts, servers, services or networks; (ii) unauthorized access to or acquisition of any third-party data, whether personal or non-personal, any form of phishing practice being prohibited; (iii) unauthorized search for vulnerabilities or deficiencies in servers, services or networks, particularly systematic detection of response to services; (iv) entry into computer systems, services or networks without the express authorization of the persons responsible or holders thereof; (v) overload actions aimed at or resulting in sabotage of the functioning of the Site; and (vi) interception and/or illegal or undue interference (and attempt thereof) in any data, systems or equipment, not being authorized to do so.
5. The User acknowledges that the use he/she make of the Site is at his/her own risk, being solely responsible for any damage caused to his/her system and/or computer equipment or for other damages or losses, including loss or damage of data, resulting from the use of materials, content or information obtained, in any manner, through the Site.

D. Links to Other Websites

1. EDPR may make available links to websites of other entities. These websites do not belong to, nor are they operated or controlled by EDPR, therefore EDPR is not responsible for, approves or in any way supports or endorses the content of such websites, nor of websites linked thereto or referred therein.
2. EDPR shall not be liable for damages resulting from viruses that may infect the User’s computer or network, or other assets, as a result of access to the Site with transfer of content thereof to the User’s computer or network. The use of such links is the sole responsibility of the Users.

E. Intellectual Property

1. The User acknowledges that the Site, its structure and layout, the selection, organization and presentation of its content, including texts, images, graphics, functionalities and the software used on the Site, as well as the brands, logos and symbols displayed are protected by intellectual property rights, belonging to EDPR, or for which EDPR has the necessary authorizations for use, and the User undertakes to respect such rights.
2. The User is not authorized to transmit, make available to the public, modify, transform, copy, sell, use or distribute, in any manner, the texts, images or other information contained in this Site or part thereof without prior written authorization from EDPR. The use of brands and logos on this Site does not grant, nor may it be interpreted as granting, permission to the User to use, directly or indirectly, such brands, logos or materials.

G. Liability and Warrenties

1. The information presented on the Site must not be interpreted by the User as an offer or business proposal of EDPR, or of any third party, to sell to or contract with Users any product or service.
2. The information made available on the Site does not constitute, regardless of its form, advice or a recommendation to purchase, sell or contract, and does not dispense with recourse to specialists where necessary.
3. All information contained on the Site is intended exclusively for private use, and its use for commercial purposes is prohibited.
4. The User acknowledges and accepts that EDPR shall not be liable for any losses or damages, material or personal, that may arise directly or indirectly from:

• i. Any use of the information made available, the User being the sole and exclusive responsible for all decisions taken on the basis of such information;
• ii. Any unauthorized use of EDPR’s servers and/or all information and data hosted therein, nor for the accuracy, timeliness or truthfulness of the information contained in the contents, nor for any errors, deficiencies or inaccuracies in the contents and for any damages that such errors, deficiencies or inaccuracies may cause to the User;
• iii. Impossibility, delay, suspension or interruption in access to the Site due to technical failures or other reasons;
• iv. Use or inability to use the Site, namely delays, interruptions, errors, interferences, disturbances and suspension of communications, omissions, viruses, bugs, computer incidents and also breakdowns and/or operating problems of the electronic, IT or telecommunications system;
• v. Delays or blockages in use caused by deficiencies or overload of the Internet or other electronic systems, namely failures in access to any part of the Site;
• vi. Illegitimate acts of third parties;
• vii. Possible errors or security deficiencies that may occur due to the use of outdated or insecure terminal equipment or browser, or damages, errors or inaccuracies that may result from their malfunction.

  5. For the purpose of ensuring the availability and integrity of the Site, EDPR may monitor traffic in order to identify unauthorized attempts of access or alteration of content, or which may otherwise compromise the Site.

  6. Unauthorized attempts to modify, alter, destroy or corrupt the information contained on the Site, to analyse or compromise security conditions, to install unauthorized software, or to use this system for uses other than those described herein, are prohibited and will be reported to the competent authorities, including collected evidence, for the application of the legally provided sanctions.

  7. EDPR does not guarantee that:

•  i. The Site meets or is suitable to satisfy any needs or expectations of the User;
• ii. The User will not incur indirect losses or damages that would not have been foreseeable when the User accessed or used the Site;
• iii. The User will not incur losses or damages as a result of any product or service acquired when using third-party websites accessed through the Site or due to any acts, omissions, errors or negligence of third parties;
• iv. The Site is fully immune from hacker attacks and viruses or other intrusion software.

H. Final Provisions

1. EDPR reserves the right, at any time, to amend, add, update or remove, partially or totally, these Terms and Conditions.
2. The User must periodically consult the page of these Terms and Conditions to confirm whether any updates or changes have been made.
3. Should any provisions of these Terms and Conditions be declared null, ineffective, annulled, or in any way unenforceable, this shall not affect the validity or effectiveness of the remaining clauses, which shall remain in full force and effect.

5. The Contractual Documentation is subject to Portuguese law. All disputes relating to its validity, interpretation and performance shall be submitted to the competent courts of the district of Lisbon.
